Terms of Use
Version [1.6] · effective from [date] · last updated [date]
The short version: five things first
- This is a tool that describes and measures charts. It is built to give you information, not investment advice. It does not know your finances or your goals, and it does not tell you what to buy, sell or hold.
- The analyst is AI software, not a person. It makes mistakes, even when the numbers it relies on are right. Check any fact before you rely on it.
- A price shown here is not always the official exchange price, or the price at your broker.
- An alert can fail to arrive, or arrive late. Do not rely on it as your only protection for money.
- Your decisions, and their results, are yours alone. The beta is free, and you can stop using the Service at any time.
This summary does not replace the sections below, and the sections below do not take anything away from it.
1. Who we are
The Service, [service name], is operated by Dor Mordechai, a private individual in Israel. Contact: dormordechai589@gmail.com. In these Terms, "we", "us" and "our" mean Dor Mordechai, and "you" means the person using the Service.
2. What the Service does
The Service is a website for financial charts. Inside it works "the analyst", an AI component that talks with you about the chart on your screen and acts on the chart while you talk. The Service:
- Shows charts of stocks, exchange-traded funds and indices. What is covered depends on the data sources available (section 6).
- Runs detectors. Code measures levels, trendlines, gaps, chart patterns and more on the price series, and shows each measurement with the basis it was measured from.
- Answers questions through the analyst. It reads what the detectors measured, marks the chart, moves it, and in learning mode draws "disappearing ink" to explain a concept.
- Shows company information where it has a source: share counts from company filings with the U.S. Securities and Exchange Commission, reporting dates, and a calendar of economic releases.
- Lets you set alerts, checked on our server and sent to your phone or browser (section 7).
- Keeps your work: marks, watchlists, folders, alerts and conversations, on every device where you are signed in.
- Calculates a theoretical option value in scenarios you choose (section 5.6).
- Exports a picture of a chart, to save or to share (section 9).
3. What the Service does not do
- It is not built to give investment advice, a personal recommendation or investment marketing, and it does not tailor anything to your circumstances. We are not licensed or registered as an investment adviser, broker or dealer by the Israel Securities Authority, the U.S. Securities and Exchange Commission, the UK Financial Conduct Authority or any other regulator. See the Disclaimer, section 1.
- It does not trade. It does not send orders to a broker, and it does not hold money or securities.
- It is not connected to your brokerage account and cannot see what you hold. What you write to the analyst about yourself is all it knows about you.
- It does not promise that any price, data, measurement or alert is correct, complete or on time.
4. Who can use the Service
- You must be at least 18, and old enough to enter into a binding contract where you live. Trading securities and derivatives is not suitable for minors, and the Service is not meant for them.
-
Where you are. The Service is offered online and is not aimed at any particular country. You may not use it from a country or region that is under comprehensive sanctions, or where our AI provider does not offer its service — at the date of these Terms, Afghanistan, Belarus, China (including Hong Kong and Macao), Cuba, Iran, Myanmar, North Korea, Russia, Syria, Venezuela, Yemen, and the Crimea, Donetsk, Kherson, Luhansk and Zaporizhzhia regions of Ukraine — or if you are named on a sanctions list of the United Nations, Israel, the United States, the European Union or the United Kingdom. Some features may not be available everywhere, because of our suppliers' terms. You are responsible for making sure that using the Service is lawful where you are.
-
One person per account. Do not share your sign-in, and do not let another person, or software, use your account on your behalf.
-
Private or professional user. Some data providers and exchanges require us to know whether you use market data as a private individual or professionally — for example, if you work for a regulated financial firm. If a provider requires it, we will ask you, and you must tell us if your answer changes. Giving an answer you know is wrong breaches these Terms, because it can make us liable to an exchange for fees.
-
Creating an account. You create an account by signing in with Google, or with an email address and a password. With Google, Google verifies who you are, and your Google account is governed by Google's own terms. With an email address, we first send it a code, and the account is made only once that code, or the link in the same email, has come back to us. If you already have an account with an email address and a password, it keeps working, and you can connect Google sign-in to it from the account menu. If you forget your password, you can choose a new one through a link we email to your account's address. If you lose access to your Google account, contact us, and once we have confirmed it is you, we will help you sign in another way.
- New accounts may be limited. During the beta we may limit, pause or close new sign-ups at any time.
- Keep your account secure. You are responsible for the security of the Google account you sign in with, and of your password if you have one. If you suspect someone else is using your account, tell us at once.
5. The analyst
5.1 What it is
"The analyst" is the name of a software component. It is not a person, not an investment analyst, and it holds no licence of any kind. It runs on a language model from an outside provider: Anthropic PBC (USA), the Claude language model. That provider is not a party to these Terms and is not responsible for the Service or its answers.
In this Service, code measures and the model reads. The detectors, the calculations and the statistics are computed in code. The analyst receives the results and puts them into words, and that wording is interpretation: a choice of what to stress, what to leave out and how to read it. Interpretation can be wrong even when every number under it is right. The model can also get a fact wrong, confuse two instruments, or state a mistake with confidence.
5.2 What the names on the chart mean
When a detector identifies a structure — a pattern, a range or a line — the analyst may mark three levels that the structure itself defines. On the chart they are labelled Confirmation, Structure break and Measured move:
- Confirmation (the confirmation level): the price at which the structure counts as complete by its own definition — for example, a close beyond a pattern's neckline. It is a property of the structure, not an entry point.
- Structure break: the price beyond which the measured structure no longer exists by its own definition. It is not a stop-loss instruction.
- Measured move (the measured-move level): the distance the structure measures, usually its height, projected from the line it was measured from. It is a geometric measurement of what has already happened, not a forecast, and not a price the Service expects to be reached.
These names describe geometry. They do not tell you to do anything. Every number is shown with the basis it was measured from, so that you can check it.
5.3 What you tell it
If you tell the analyst a price at which you bought, or a level you chose, it reads it as a price level on the chart and gives the same numbers anyone asking about that price would get: its distance from the last close, the measured level nearest to it, and statistics measured at it. It does not treat it as your position, does not judge where your stop is, does not calculate a profit or a loss, and does not say whether to hold, exit or add. Prices you give are not checked against any account.
For options, the exception is the calculator (section 5.6): if you ask, it calculates a theoretical value, profit or loss in a scenario you chose. That is the output of a model, not a view on whether to keep or close anything.
Do not give the analyst passwords, account numbers or details that identify you. It needs none of them.
5.4 Statistics, scores and samples
Every rate, pattern score, count of touches or gap-fill rate the Service shows describes the past that was measured, in the window and by the method shown beside it. It is not a probability of what will happen. A sample can be small, biased, or unlike today's market.
5.5 Web sources and other people's content
The analyst may search the web and read pages, news and filings, and summarise them. That content is not ours, and we have not checked it. It can be wrong, out of date or misleading. Text the analyst reads can also try to steer it — for example, a page written to influence AI models. When the analyst gives a fact about a company, it is required to name its source. Check the fact at the source before you rely on it or repeat it.
5.6 The option value calculator
The Service can calculate a theoretical value for an option in price and time scenarios that you choose. It is the output of a pricing model, under the assumptions shown beside it (for example volatility and an interest rate). It is not a price anyone is offering, not an estimate of what will happen, and it does not say what to do with the option.
5.7 A notice our AI provider requires
Do not rely on a factual statement in an answer from the analyst without checking it independently. It may be wrong, incomplete or out of date.
5.8 Personal interest, and what the Service does not replace
The operator of the Service may hold securities and other assets that the Service shows. The answers you receive are generated from the chart and the data, and receive no information about the operator's holdings. The information in the Service is not a substitute for advice that takes into account the particular data and needs of each person.
5.9 Limits on the analyst, and the model
Use of the analyst is limited, because every question costs us money. The limit is a weekly allowance, measured by what each answer costs us to compute — so a long analysis uses more of it than a short question, and the allowance is not a number of questions. Your week is your own: it renews every seven days, counted from the moment your account was created. The chat tells you when you have used 75% and 80% of it, and from 90% at every further percent; the account menu shows how much of this week's allowance you have used and when it renews. [During the beta, the size of the allowance is set by plan; the beta plan's figure is not set yet.] When the limit is reached, only the analyst stops — the chart, your lists, your alerts and the detectors keep working. [On a day of unusually heavy use the analyst may also pause for everyone for a few hours, and it will say so rather than fail silently.]
We may change the model, its version, or how the analyst works. We do not promise a particular model. A material change for the worse to a paid plan is governed by section 14.
5.10 If it still reads like a recommendation
The analyst is built to describe, not to recommend. If something it writes reads to you like a recommendation to buy, sell or hold, treat it as a software error, not as a recommendation. Do not act on it, and tell us at dormordechai589@gmail.com.
6. Data and prices
- Prices come from several data providers, depending on the asset. The main provider for stocks is Intrinio, Inc. (USA). For some assets the price is an indicative price: a price the data provider derives from several sources, not the price of a trade on a particular exchange.
- A price in the Service is not the official record of any exchange. It can differ from the price at your broker, and at times of sharp moves, thin trading, the open or the close, the difference can be large. Do not use a price from the Service to place an order, price a trade, value an asset or report for tax.
- A price can be delayed. Depending on the data provider and the time of day, a price may be late — for example, outside regular US trading hours a stock price may be up to 15 minutes old. When the Service knows a price is delayed or stale, it says so. It does not always know.
- Every measurement rests on the same data. A gap in the data is a gap in everything derived from it: levels, patterns, scores and alerts.
- Historical data can be missing or corrected. Where a chart joins consecutive futures contracts, prices are not adjusted, so a change of contract shows as a jump.
- Company information comes from different sources, on their own schedules. A future reporting date that has not been announced is shown as an estimate, and marked as one.
- A provider may stop supplying data. If that happens, part of the Service may change or disappear (section 14).
- You may not redistribute market data you receive from the Service (section 9). This restriction comes from our contracts with data providers, and breaching it puts at risk the licence the whole Service depends on.
- Attribution. The credits of the data providers and of the charting library appear in the Service. Do not remove them, including from a picture you share.
7. Alerts
- You can set an alert on a price, on a line, on an economic release, and, where the Service has a news source, on a new headline about a stock you have starred. Alerts are checked on our server, so your screen does not have to be open.
- A price alert is checked against the price the Service receives, and fires the moment that price touches the level. That is the price described in section 6; on the exchange, or at your broker, the price may not have touched it.
- "Sent" means the alert was handed to the push service of your browser or operating system, not that it reached you. That system gives no confirmation of delivery. An alert can fail to arrive, arrive late, or arrive twice — because a phone is off, in power-saving or do-not-disturb mode, permission was withdrawn, something failed at our end or at a supplier's, or data did not arrive.
- When our server is not receiving a current price, an alert is "blind" and is not being checked. The Service shows this in the alerts window.
- When the prices it receives run late, an alert is checked against them, and the notification says the price is delayed and gives its time.
- Do not rely on an alert as your only protection for money, and in particular not instead of a stop order, a limit order, or an alert at your broker.
- The analyst sets a price alert only when you ask, and at the price you choose. It may mention once in a conversation that it can do this, without suggesting a price. If you choose levels already on the chart, it sets exactly those. An alert only tells you that a price reached a level; it is not a recommendation to act there. It may offer a reminder before an economic release.
- Notifications are service messages you asked for. We do not send advertising by push notification.
8. Learning mode
In learning mode the analyst explains a concept on a real chart and draws in "disappearing ink" that fades after a few seconds. It draws only on what has already happened, up to the last candle and never past it. It does not draw on the future, and it does not present a recommended trading method. The cards are general teaching material, the same for everyone who chooses the same topic. The explanation the analyst writes around them is written fresh each time, and section 5 applies to it.
9. What you may not do
You may not:
- Redistribute market data you receive from the Service, in any form: pass it on, publish it, sell it, stream it to a third party, or make it available through a bot, an API or another service. Sharing a single picture of a chart for personal, non-commercial purposes, with its credits on it, is allowed.
- Scrape, collect automatically or extract in bulk content, data or answers, including with a script, a browser extension or a bot.
- Get around limits, quotas, authentication or payment.
- Reverse-engineer or decompile the Service, except as far as the law allows and cannot be excluded by contract.
- Present an answer or a mark from the Service to others as a recommendation or as advice, or use the Service to give advice, signals or investment marketing to others — including in a channel, a paid group, a newsletter or on social media.
- Publish as fact what the analyst said about a company or a person without checking it at the source. Whoever publishes is responsible for the publication.
- Try to make the analyst produce unlawful, abusive, misleading or infringing content, or content forbidden by our AI provider's Usage Policy, which applies to you as well.
- Use the Service for market manipulation, insider dealing, or any other breach of securities law.
- Try to break into the Service, test its security without our written permission, or use the analyst's abilities (such as reading the web) to harm anyone.
- Load the Service in a way that harms other users.
- Use the Service in breach of sanctions or export-control law (section 4).
Reporting. If you find content in the Service that you believe is illegal, or that breaks these Terms, write to dormordechai589@gmail.com with what it is and where. We will look at it and tell you what we decided.
10. Your content, our software, and what is kept about you
- The marks, lines, lists, alerts and questions you write are yours. We claim no ownership of them. You give us a limited licence to store, process and display them only in order to run the Service for you — which includes sending them to the AI provider to answer you, as the Privacy Policy describes.
- How the Service learns how to explain to you. If you answer the short questionnaire, the Service keeps the knowledge level you chose in each subject. The analyst may also note short lines about how to explain to you — for example, "prefers short answers". It does not note which stocks interest you, or any numbers, and the system refuses to store a line that contains them. You can see and delete these lines in the "Your analyst" tab.
- The analyst's answers are not exclusive to you. A language model may give something similar to someone who asked something similar.
- We do not use your conversations to train AI models. Doing so would need your separate, explicit consent. We may read conversations for support, security, preventing abuse, fixing faults and improving the quality of answers, as the Privacy Policy describes.
- Ideas you send us. If you send a suggestion or a feature request, we may use it without owing you anything for it.
- Our software. The Service — its software, design, texts and the analyst's instructions — belongs to us or to those who licensed it to us. We give you a personal, non-transferable right to use the Service under these Terms, for your own purposes, including your own trading — not to provide a service to others.
- Export and deletion: the Privacy Policy, "Your rights".
11. Price, the beta, and payment
The Service is free during the beta. We do not charge for it. We do not ask for payment details when you sign up, and nothing will ever be charged unless you choose a paid plan and enter a payment method yourself.
The beta has no fixed end date yet. We plan to offer a paid plan later. Before the free beta ends, we will tell you at least 7 days ahead, in the Service and by email — what a paid plan costs, and what changes for an account that does not choose one. Plans, prices, renewal, cancellation and refunds will then be set out in a billing, cancellation and refund policy, which will become part of these Terms. Nothing in these Terms takes away a right you have under consumer law to cancel or to withdraw from a purchase, including the right of withdrawal under the law where you live.
12. Liability
12.1 Your decisions. Trading and investment decisions, and their results, are yours alone. We are not liable for a trading loss, a lost profit or a missed opportunity that results from a decision you made, even if you made it after reading an answer, a mark, a measurement or an alert from the Service. This does not apply to harm we caused deliberately or through gross negligence.
12.2 A cap. In any other case, our total liability to you, on any basis, will not exceed the amount you paid us in the 12 months before the event, or USD 150, whichever is higher.
12.3 What is not limited. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for deliberate wrongdoing, or any other liability that the law that applies to you does not allow to be limited or excluded — including your statutory rights as a consumer.
12.4 Third parties. Subject to 12.3, we are not responsible for what data providers, the AI provider, push services, your broker, network providers, or websites the analyst read, do or fail to do.
13. Indemnity
If someone else brings a claim against us because of something section 9 forbids that you did — for example, redistributing market data, presenting an answer to others as a recommendation, or publishing what the analyst said about a company — you will compensate us for the loss and the reasonable costs we actually incur. We will tell you about the claim within a reasonable time and let you take part in the defence. This does not apply to loss caused by our own fault, and if you are a consumer it applies only as far as the law where you live allows.
14. Availability and changes to the Service
- The Service is provided as it is and as available — and it is a beta. Features can change, break or be removed. We do not promise availability, continuity or a response time, and there is no service-level agreement.
- We may change, add or remove features when there is a reason: a legal requirement, a supplier that stopped supplying data or changed its terms, security, a material cost of a component, or improving the Service.
- A material change for the worse to a paid plan will be announced 30 days ahead. If you cancel because of it, you get a pro-rata refund for the unused period.
15. Suspending and closing an account
- You may close your account at any time, by writing to dormordechai589@gmail.com. We will confirm in writing. Any refund follows the billing policy, once there is one.
- We may suspend or close an account for a breach of these Terms, for non-payment, or because the law requires it. For a breach that is not serious, we will warn you first and give you a reasonable time to put it right. For a serious breach — redistributing data, attacking security, use that puts the Service at risk with a supplier, or breaching sanctions — we may suspend at once. Either way, we will tell you what we did and why.
- An account closed for a reason other than a breach is treated like the closing of the Service (section 16), with the necessary changes.
16. Closing the Service
This is not a theoretical section. A young project may close, so what will happen then is written here in advance:
- At least 30 days' notice, by email and in the Service.
- Automatic renewal stops at once with the notice, and a pro-rata refund of any prepaid period is made without your having to ask, to the original payment method.
- During the notice period you can get a copy of what you created — marks, lists, alerts and conversation transcripts — in a machine-readable format. Market data is not included, because we are not allowed to redistribute it.
- 30 days after closing, your data is deleted, except what the law requires us to keep, such as accounting records.
17. Changes to these Terms
- Every version of these Terms has a number and a date, and we keep the version you agreed to together with the time you agreed.
- A material change to your disadvantage will be announced 30 days before it takes effect, by email and in the Service. The next time you sign in after it takes effect, we will ask you to agree to the new version. If you do not agree, you can close your account, and on a paid plan get a pro-rata refund for the unused period.
- A change that is not material — a wording fix, a clarification, or a change the law requires — takes effect when it is published, and the date at the top changes.
18. Governing law and courts
- These Terms, and your use of the Service, are governed by the law of the State of Israel.
- Disputes will be decided by the competent courts in Israel, including the small claims court. There is no arbitration clause.
- If you are a consumer, this choice of law does not take away the protection of the mandatory rules of the law of the country where you live, and you may also bring a claim in the courts of that country where its law allows you to.
19. General
- Notices. We send notices to the email address on your account and inside the Service. Keep your address up to date.
- Transfer. You may not transfer your rights under these Terms. We may transfer ours as part of a transfer of the business, with notice to you, provided your rights are not reduced.
- Entire agreement. These Terms, the Disclaimer and the Privacy Policy — and, once one exists, the billing policy — are the whole agreement between us.
- Severability. If a provision is found unenforceable, it is limited to the extent needed, and the rest of these Terms stands.
- No waiver. If we do not enforce a provision, we have not waived it.
- Language. These Terms are written in English, and the English text is the binding one. A translation, if we publish one, is for convenience only.
- Contact, including about privacy: dormordechai589@gmail.com.
- Point of contact for users and authorities, including under the EU Digital Services Act: dormordechai589@gmail.com. We communicate in English and Hebrew.
